Amend Bylaws to clarify Board of Directors election process

Our Bylaws does not specify how the election of Board members should be done. The Board recommends a procedure be inserted into the bylaws.

Currently, Article XI - ELECTION OF BOARD MEMBERS of the bylaws states:

"The new Directors shall be elected by a vote conducted at the Annual Meeting. Those nominees receiving the highest number of votes shall be declared elected. A tie vote shall be resolved by another vote confined to the resolution of the tie."

The Board recommends adoption of this change:

"The new Directors shall be elected by a vote conducted at the Annual Meeting, or online prior to the Annual meeting. Those nominees receiving the highest number of Favor votes shall be declared elected, except any nominee whose Oppose votes exceed his or her Favor votes, until all available board seats have been filled. The number of available seats will be established by the Board prior to the election. A tie vote shall be resolved by the nominee having the fewest Oppose votes, and if still unresolved by the President drawing at random from among the tied nominees."
