Amend Bylaws to specify how Directors' terms should be arranged

Our Bylaws require Directors' terms to be staggered but does not specify how it should be done. The Board recommends a procedure to achieve this be inserted into the bylaws.

Currently, Article V - BOARD OF DIRECTORS, Section 4 - Terms of Office of the bylaws states:

"The Directors shall be elected by and from the membership by the procedure outlined in Article XI - ELECTION OF BOARD MEMBERS. The Directors shall serve terms of three (3) years. Their terms shall be arranged so that no fewer than one-third of the actual number of Directors’ terms expire each year. They shall serve without compensation."

The Board recommends adoption of this change:

"The Directors shall be elected by and from the membership by the procedure outlined in Article XI - ELECTION OF BOARD MEMBERS. The Directors shall serve terms of three (3) years. Their terms shall be arranged so that no fewer than one-third of the actual number of Directors’ terms expire each year. If more or less than one-third of board seats are available during any election, Directors shall be asked to voluntarily serve a shorter term. If an imbalance in Director's terms remains, shorter terms shall be assigned to Directors via a random drawing. Directors shall serve without compensation."
